This website is not a proposal

Nothing on this Website constitutes an offer, bid, quotation, contract, or commitment to perform services.

Submitting an inquiry, questionnaire, Vision Studio request, project information, or other communication; receiving preliminary information, estimates, concepts, or materials; or receiving access to Project Line or another client-facing area does not, by itself, create a designer-client, contractor-client, consultant-client, fiduciary, or other professional relationship. Scope, schedule, investment, responsibilities, and professional services for a project are established only by an applicable written agreement executed by Gray & Grace Inc. and the client.

Pricing and figures

Where investment figures, budgets, ranges, allowances, lead times, schedules, or similar figures appear, including for Vision Studio engagements, they are preliminary and indicate general financial or scheduling territory only. They may change based on scope, site conditions, selections, availability, market conditions, taxes, freight, labor, permitting, or other project-specific factors. No published figure is a fixed price, guaranteed schedule, or binding quotation unless expressly incorporated into an executed written agreement.

Projects, imagery and materials

Projects shown in G&G Editions may include completed work, work in progress, design studies, or conceptual work by Gray & Grace.

Renderings, drawings, plans, sketches, diagrams, AI-assisted imagery, visualisations, specifications, dimensions, and other representations may communicate design intent and are not construction documents or guarantees of a completed condition unless expressly incorporated into an applicable executed agreement.

Materials, finishes and products shown are illustrative. Availability, pricing, dimensions, colour, texture, veining, grain, patina and natural variation may differ between samples, production lots, photography, screens and completed installations.

Material Studio and Textile Studio present an editorial view of sourcing capability. They are not a catalogue, price list, inventory representation, or offer to sell.

G&G Collection

Collection pieces are original works developed through the practice. Classifications — Edition, One of One, Made to Order, Custom and Study — describe how a piece exists rather than its availability. Images, descriptions, dimensions, materials, pricing and availability may change. Natural and handmade materials may vary. A commission, custom order, or sale is governed by the written terms applicable to that transaction.

Intellectual property

Unless otherwise identified, the Website and its content — including text, photography, drawings, renderings, plans, sketches, concepts, specifications, design studies, graphics, layouts, product and furniture designs, written materials, proprietary methodologies, brand names and the Gray & Grace marks, including G&G Editions, Vision Studio, Material Studio, Textile Studio, Intelligent Environments, G&G Collection, Project Line and House Book — are owned by or licensed to Gray & Grace Inc. and are protected by applicable intellectual-property laws.

You may view the Website for personal, non-commercial informational purposes. No content may be copied, reproduced, republished, distributed, modified, sold, commercially exploited, used to create derivative works, scraped or systematically extracted, or used to train, develop, or improve an artificial-intelligence or machine-learning system without prior written permission from Gray & Grace Inc., except where such restriction is prohibited by applicable law.

Materials you provide

If you submit photographs, drawings, plans, measurements, specifications, inspiration imagery, documents, files, messages, or other materials through the Website or a client-facing area, you represent that you have the right to provide them and that doing so does not violate another person’s rights. You grant Gray & Grace Inc. a non-exclusive right to access, copy, store and use those materials as reasonably necessary to evaluate your inquiry, communicate with you, administer the Website or portal, and, where an applicable professional-services agreement exists, perform the requested services. Ownership and permitted use of project deliverables are otherwise governed by the applicable written agreement.

Third-party products, services and links

The Website may reference or link to manufacturers, vendors, platforms, products, services or other third parties. Gray & Grace Inc. does not control and is not responsible for third-party websites, content, privacy practices, pricing, inventory, lead times, warranties, performance, availability, discontinuation, or changes to third-party products or services. A reference or link does not, by itself, constitute an endorsement or guarantee.

Client portal and Project Line

Access to Project Line, the client portal, or other restricted project areas is granted by invitation to clients and approved project participants. Accounts are personal; credentials must be kept confidential and may not be shared with unauthorized persons. You are responsible for activity conducted through your credentials and should notify Gray & Grace promptly of suspected unauthorized access. Access may be modified, suspended, or revoked when reasonably necessary.

Portal messages, status indicators, uploads, decision records, schedules, budgets and other project information are intended to support project communication and administration. They do not amend an executed agreement, authorize a change in scope, or constitute a contractual change order unless the requirements for doing so under the applicable project agreement are satisfied.

Intelligent Environments and technology

Descriptions of lighting controls, motorized shades, networks, security, monitoring, leak detection, automation, connected devices, or other technology are informational and project-specific implementation may depend on third-party hardware, software, networks, utilities and service providers. Unless expressly provided in an applicable written agreement, the Website does not guarantee compatibility, cybersecurity, uninterrupted connectivity, third-party service availability, future software support, or continuous performance of any technology or connected system.

Professional services and no reliance

Design guides, FAQs, care guidance, articles, concepts and other information published on the Website are general information and should not be relied upon as project-specific architectural, engineering, construction, code, structural, mechanical, electrical, legal, financial, safety, or other professional advice. Conditions must be evaluated for the actual property, and licensed or qualified professionals must be engaged where required. Website content is not a substitute for field verification, permitting, code review, engineering, architectural services, manufacturer instructions, or other project-specific due diligence.

Website availability and accuracy

Gray & Grace Inc. may update, correct, remove, suspend, or change Website content or functionality without notice. While reasonable efforts are made to present useful and accurate information, the Website may contain errors, omissions, outdated information, or interruptions. You are responsible for independently confirming information material to a purchasing, construction, design, or other decision.

Prohibited uses

You may not use the Website to violate applicable law or another person’s rights; impersonate another person; submit malicious code or unlawful material; interfere with Website operation or security; attempt unauthorized access to restricted systems, accounts or project information; misuse portal credentials; harvest data or personal information; or copy, scrape, reproduce, or commercially exploit Website content except as expressly permitted by these Terms or applicable law.

Disclaimer of warranties

To the fullest extent permitted by applicable law, the Website and its content are provided “as is” and “as available,” without warranties of any kind, express or implied. Gray & Grace Inc. does not warrant that the Website will be uninterrupted, error-free, secure, or suitable for a particular purpose, or that Website content will be complete, current, or free from inaccuracies. Any warranties applicable to professional services, construction work, products, or commissioned pieces are governed by the applicable written agreement or transaction terms.

Limitation of liability

To the fullest extent permitted by applicable law, Gray & Grace Inc. and its officers, directors, employees, contractors and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or other losses arising from or relating to access to, use of, inability to use, or reliance upon the Website or its content. Nothing in these Website Terms limits liability that cannot lawfully be limited or excluded.

This limitation concerns the Website and Website content. Liability, remedies, warranties, and risk allocation relating to professional services, construction, procurement, products, or a specific project are governed by the applicable executed agreement or transaction terms.

Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Gray & Grace Inc. and its officers, directors, employees and representatives from third-party claims, liabilities, damages and reasonable costs arising from your unlawful or unauthorized use of the Website, your material violation of these Terms, or materials you submit in violation of another person’s rights. This Website provision does not replace or modify any indemnification provision contained in an executed project or professional-services agreement.

Dispute resolution

Before initiating formal legal proceedings arising out of or relating to these Website Terms or use of the Website, the parties agree to make a good-faith effort to resolve the dispute informally through written notice and reasonable discussion. If the dispute cannot be resolved informally, either party may pursue remedies available under applicable law, subject to the Governing Law and Venue & Jurisdiction provisions below.

These Website Terms do not establish or modify dispute-resolution procedures applicable to design, construction, consulting, procurement, project management, commissioned work, or other professional services. Any requirements concerning mediation, arbitration, litigation, claims procedures, or other dispute-resolution methods for those services are governed by the applicable written agreement. Nothing in this section prevents either party from seeking temporary, preliminary, or other equitable relief when reasonably necessary to protect confidential information, intellectual property, proprietary materials, or other legal rights.

Governing law

These Website Terms, and any matter or dispute arising out of or relating to them or use of the Website, are governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict-of-laws principles.

Venue & jurisdiction

To the fullest extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Website Terms or use of the Website shall be brought in a court of competent jurisdiction located in Oklahoma County, Oklahoma, and each party consents to the personal jurisdiction and venue of those courts. Nothing in these Terms limits a right or remedy that cannot lawfully be limited or waived.

Relationship to project agreements

These Website Terms govern use of the Website. They do not replace an executed agreement for design, construction, consulting, procurement, project management, commissioned work, products, or other services. If these Website Terms conflict with an executed agreement between Gray & Grace Inc. and a client concerning a project, transaction, or professional services, the executed agreement controls with respect to that project, transaction, or those services.

Changes to these terms

Gray & Grace Inc. may revise these Website Terms from time to time. Updated Terms will be posted on this page with a revised “Last updated” date and will apply prospectively from the date posted. Your continued use of the Website after an update constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Severability and waiver

If any provision of these Website Terms is held invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. A failure by Gray & Grace Inc. to enforce a provision on one occasion does not waive the right to enforce that provision or any other provision later.
